Terms of Use — Counter Weighted

Acceptance of terms

By downloading, installing, or using Counter Weighted ("the App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legal agreement between you and Digital Lighting Solutions ("we", "us", "our"), the developer and operator of the App.

License to use

We grant you a limited, non-exclusive, non-transferable, revocable licence to download and use the App on any Apple device you own or control, subject to these Terms and Apple's App Store Terms of Service.

You may not:

Copy, modify, distribute, sell, or lease any part of the App.
Reverse-engineer, decompile, or disassemble the App, except as permitted by law.
Use the App for any unlawful purpose or in violation of these Terms.
Remove or alter any proprietary notices or labels on the App.

Safety disclaimer

This is critically important. Counter Weighted is a calculation aid — not a substitute for professional engineering judgment, competent supervision, or independent verification.

Counterweight calculations provided by the App are a guide only. You must always:

Independently verify all counterweight requirements before loading any fly system.
Follow all applicable safety regulations, codes of practice, and venue-specific procedures.
Ensure that all rigging work is carried out or supervised by competent, qualified personnel.
Inspect all equipment and hardware before use.
Account for factors the App cannot model, including bar weight, sheave friction, rope/cable weight over distance, environmental conditions, and dynamic loading.

We do not warrant that the calculations produced by the App are accurate, complete, or suitable for any particular application. The App is not a certified engineering tool. You assume all risk associated with relying on the App's output.

We expressly disclaim all liability for personal injury, property damage, or any other loss arising from the use of this App's calculations in any rigging or counterweight application.

Subscriptions & payments

After your free trial, continued use of the App requires an active subscription. Two plans are available:

Monthly — billed every month.
Yearly — billed once per year.

All payments are processed by Apple through your App Store account. By subscribing, you also agree to Apple's terms for auto-renewing subscriptions:

Payment is charged to your Apple ID account at confirmation of purchase.
Your subscription automatically renews unless you cancel at least 24 hours before the end of the current billing period.
Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected plan.
You can manage and cancel your subscription at any time in your App Store account settings.

Prices are set in App Store Connect and may vary by region. We reserve the right to change subscription pricing. Any price changes will take effect at the start of your next billing period, and you will be notified in advance by Apple.

Free trial

New users receive a 7-day free trial with full access to all features. The trial begins when you first open the App and does not require a payment method.

When the trial expires, the App's functionality is restricted until a subscription is purchased. No payment is taken automatically at the end of the trial — you must actively choose a subscription plan.

GDTF Share integration

The App offers optional integration with GDTF Share (gdtf-share.com), a third-party fixture data service operated by the GDTF Group. By using this feature, you agree that:

You are responsible for creating and maintaining your own GDTF Share account.
Your GDTF Share credentials are transmitted directly to GDTF Share's servers for authentication. We do not relay them through our own servers.
Your use of GDTF Share is subject to their own terms of service and privacy policy.
We are not responsible for the availability, accuracy, or completeness of data provided by GDTF Share.
If GDTF Share changes or discontinues their API, the integration may stop working. This is not grounds for a refund.

Fixture data accuracy

The App provides fixture weight data from three sources: a bundled database, GDTF Share, and manual user entry. While we make reasonable efforts to ensure the bundled database is accurate, we do not guarantee that any fixture weight is correct.

Always cross-reference fixture weights against the manufacturer's official specifications before making rigging decisions. Weight data in the App may be outdated, incomplete, or incorrect.

You are solely responsible for verifying the accuracy of all fixture weights used in your calculations, regardless of their source.

Acceptable use

You agree to use the App only for its intended purpose — calculating counterweight requirements for theatre and live event fly systems. You agree not to:

Use the App to circumvent safety procedures or regulatory requirements.
Rely on the App as the sole basis for rigging decisions without independent verification.
Attempt to interfere with, disrupt, or gain unauthorised access to the App's services or related systems.
Use the App in any manner that could damage, disable, or impair its functionality.

Intellectual property

The App and all its contents — including but not limited to code, design, text, graphics, logos, and the bundled fixture database — are the intellectual property of Digital Lighting Solutions and are protected by copyright and other intellectual property laws.

Fixture data obtained from GDTF Share is the property of the respective manufacturers and the GDTF Group. Fixture data entered manually by you remains your own.

Limitation of liability

To the maximum extent permitted by applicable law:

The App is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.
In no event shall Digital Lighting Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the App.
Our total aggregate liability for any claims arising out of or related to these Terms or the App shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

Rigging safety: We expressly disclaim all liability for personal injury, death, or property damage arising from any rigging, counterweight, or fly system decisions made using information from this App. You are solely responsible for ensuring all rigging work is carried out safely and in compliance with applicable standards.

Termination

You may stop using the App at any time by deleting it from your devices and cancelling any active subscription through your App Store account settings.

We reserve the right to suspend or terminate your access to the App at any time, without prior notice, if you breach these Terms. Upon termination, your licence to use the App is revoked immediately.

Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Effective" date at the top of this page. Changes are effective immediately upon posting. Your continued use of the App after any changes constitutes acceptance of the updated Terms.

For material changes, we will make reasonable efforts to notify you through the App or via the App Store update notes.

Governing law

These Terms are governed by and construed in accordance with the laws of the State of Queensland, Australia, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.
